1. Acceptance of These Terms

1.1 These Terms of Use (the “Terms”) constitute a binding agreement between Millennium Health & Fitness, Inc., an Arizona corporation (“MHF”), and you, the individual accessing the website on which these Terms are posted (the “Site”). By accessing or using the Site, you agree to be bound by these Terms and by the Privacy Policy set forth below, which is incorporated herein by reference. If you do not agree, you must not access or use the Site.

1.2 You represent that you are at least eighteen (18) years of age.

2. The Site

2.1 The Site is operated by MHF and provides health and wellness education materials (the “Content”) to individuals participating in the workplace wellness program the Site supports. The Site is not intended for use by the general public, and the Content is made available for personal, non-commercial wellness purposes only.

2.2 The Site is not a government website and is not operated by or on behalf of any government agency.

2.3 The Site is provided on an interim basis. MHF may modify, suspend, limit, or discontinue the Site or any portion of the Content, and may restrict or terminate any individual’s access, at any time and without notice or liability.

3. Medical Disclaimer

THE FOLLOWING IS MATERIAL TO YOUR USE OF THE SITE. PLEASE READ IT CAREFULLY.

  1. The information and tools provided on the Site are for educational and informational purposes only and are not a substitute for professional medical advice, diagnosis, or treatment.
  2. No medical advice is provided through the Site, and no physician-patient relationship is created by your use of the Site or any Content.

  5. MHF shall not be liable for any action taken or decision made in reliance on information provided through the Site.

4. Permitted Use and Restrictions

4.1 All right, title, and interest in and to the Site and the Content, including all intellectual property rights therein, are and shall remain the exclusive property of MHF or its third-party licensors. Subject to your compliance with these Terms, MHF grants you a limited, personal, revocable, non-exclusive, non-transferable license to access and view the Content for your personal wellness purposes. No other rights are granted, whether by implication, estoppel, or otherwise.

4.2 You shall not, and shall not permit any third party to:

  1. share, republish, post, transmit, distribute, or otherwise make available any Content to any other person, including by posting to social media or any publicly accessible medium;
  2. download, extract, archive, or store any Content as a standalone file, or otherwise access Content apart from the Site;
  3. modify, adapt, repurpose, or create derivative works based upon any Content;
  4. copy, frame, or mirror any portion of the Site or the Content;
  5. remove, obscure, or alter any copyright notice, trademark, or proprietary legend appearing on or within the Content;
  6. employ any robot, spider, scraper, or other automated means to access or copy the Site or the Content;
  7. attempt to gain unauthorized access to the Site, its servers, or any connected system, or circumvent any security or access-control measure; or
  8. use the Site or any Content for any unlawful or tortious purpose.

4.3 Any use of Content not expressly authorized by these Terms may constitute copyright infringement and shall entitle MHF and its licensors to exercise all rights and remedies available at law or in equity.

5. Third-Party Content and Links

5.1 Certain Content is licensed from third parties and remains subject to the terms of MHF’s agreements with those licensors. The Site may also contain links to websites operated by third parties, provided for convenience only. MHF does not control, endorse, or assume responsibility for any third-party website, and your access to any such website is at your own risk.

6. Disclaimer of Warranties

6.1 THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MHF AND ITS LICENSORS DISCLAIM ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. MHF DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

7. Limitation of Liability

7.1 TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MHF, ITS AFFILIATES, LICENSORS, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SITE OR ANY CONTENT, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER THEORY, AND WHETHER OR NOT MHF HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT PERMIT CERTAIN OF THE FOREGOING EXCLUSIONS, WHICH SHALL APPLY ONLY TO THE EXTENT PERMITTED BY LAW.

8. Accessibility

8.1 MHF endeavors to conform the Site to the Web Content Accessibility Guidelines (WCAG) 2.1, Level AA. If you encounter an accessibility barrier or require Content in an alternate format, contact MHF at info@millenniumhealthandfitness.com and MHF will make reasonable efforts to provide an accessible alternative.

9. Changes to These Terms

9.1 MHF may amend these Terms at any time by posting a revised version to the Site. Amendments are effective upon posting, and your continued use of the Site constitutes acceptance of the amended Terms.

10. Governing Law

10.1 These Terms and any dispute arising out of or relating to them or to the Site shall be governed by the laws of the State of Arizona, without regard to its conflict-of-laws principles. You consent to the exclusive jurisdiction and venue of the state and federal courts located in Maricopa County, Arizona.

11. General

11.1 Severability. If any provision of these Terms is held unenforceable, that provision shall be modified to the minimum extent necessary to render it enforceable or, if modification is not possible, severed, and the remaining provisions shall continue in full force and effect.

11.2 No Waiver. No failure or delay by MHF in exercising any right under these Terms shall operate as a waiver of that right.

11.3 Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and MHF with respect to the Site and supersede all prior understandings on that subject.
